On January 29, 2021, SAP SE, ("SAP"), issued a press
release (the “Press Release”) announcing SAP’s preliminary financial results for the fourth quarter and twelve
months ended December 31, 2020. The Press Release is attached as Exhibit 99.1 hereto and incorporated by reference herein.
This Press Release discloses certain non-IFRS measures. These
measures are not prepared in accordance with IFRS and are therefore considered non-IFRS financial measures. The non-IFRS financial
