Explanation of Responses:
(1)  Represents the restricted stock units (the "RSUs") granted to the reporting person pursuant to the Enveric Biosciences, Inc. (the "Company") 2020 Long-Term Incentive Plan. For each vested restricted stock unit, the reporting person will be entitled to receive one share of common stock. The RSUs vest in four equal annual installments, with the first installment vesting upon the one year anniversary of the date of issuance.
