whole); or (vii) any failure by the Company to meet any internal projections or forecasts or estimates of revenues or earnings for any period (it being understood and agreed that the facts
and circumstances giving rise to such failure that are not otherwise excluded from the definition of Company Material Adverse Effect may be taken into account in determining whether there has been a Company Material Adverse Effect).
Confidentiality Agreement shall mean the Confidentiality Agreement, dated as of October 18, 2023, by and between Buyer
and the Company.
Exchange Act shall mean the Securities Exchange Act of 1934, as amended, and the rules and
regulations thereunder.
GAAP shall mean generally accepted accounting principles in the United States.
Governmental Authority shall mean any U.S. or foreign federal, state or local governmental commission, board, body, bureau
or other regulatory authority or agency, including, without limitation, courts and other judicial bodies, bank regulators, insurance regulators, applicable state securities authorities, the SEC, the IRS or any self-regulatory body or authority,
including any instrumentality or entity designed to act for or on behalf of the foregoing.
Knowledge shall mean, with
respect to any fact, event or occurrence, the actual knowledge after reasonable inquiry of one or more of (i) in the case of the Company, the Companys executive officers listed on Schedule 9.2(a)(i) of the Company Disclosure
Schedule, or (ii) in the case of Buyer, Simon Griffiths, Michael Archer, David Ackley, Andrew Forbes and Ryan Smith.
Person or person shall mean any individual, bank, corporation, partnership, limited liability company,
association, joint-stock company, business trust or unincorporated organization.
Personal Information means a natural Persons name, street address, telephone number, e-mail address, photograph,
Social Security number, drivers license number, passport number or user or account number or any other piece of information relating to or being capable of being associated, directly or indirectly, with an identified or identifiable natural
Person or is otherwise considered personal information, personally identifiable information, personal data or another analogous term as defined under Privacy Laws, including, without limitation, nonpublic
personal information as defined under the Gramm Leach Bliley Act.
Privacy Laws shall mean any law, rule or
regulation that governs the receipt, collection, compilation, use, storage, processing, sharing, safeguarding, security, disposal, destruction, disclosure or transfer of Personal Information, including, without limitation, the CAN-SPAM Act, the
Telephone Consumer Privacy Act, the Gramm-Leach-Bliley Act and all United States state Laws concerning privacy, data security, breach response and/or data protection, each as amended from time to time.
