Ultimate Finance Group plc ("UFG" or the "Company")

Further to today's announcement that all resolutions to approve the proposed acquisition of the Company by Renovo Group PLC ("the Acquisition") by way of a scheme of arrangement ("the Scheme") were duly approved at the Court Meeting and General Meeting held today, UFG is pleased to confirm the following details:

At the General Meeting, the resolution to approve the Scheme was passed on a show of hands.

At the Court Meeting:

41 shareholders owning 35,373,392 Ordinary shares voted to approve the Scheme, representing approximately 91.11 per cent of the voting shareholders, 99.78 per cent of the shares voted and 53.78 per cent of the Ordinary shares in issue and eligible to vote at such meeting

4 shareholders owning 78,790 Ordinary shares voted against the Scheme, representing approximately 8.89 per cent of the voting shareholders, 0.22 per cent of the shares voted and 0.12 per cent of the Ordinary shares in issue and eligible to vote at such meeting
