On 1 December 2003 The Innovation Group plc received the following notification:

                 ICE SAS shareholding in the Innovation Group plc

This notification relates to the issued ordinary shares (the "shares") of 2p
each in the capital of the Innovation Group plc or (the "Company") and is given
in fulfillment of the obligations imposed by Sections 198 to 202 of and
otherwise by Part IV of the Companies Act 1985 (the "ACT").

    1. ICE SAS ("ICE") and Cantor Fitzgerald Europe of One American Square 
       London EC3N 2LS are each a party to an agreement (the "Agreement") to 
       which section 204 or section 208 of the Act applies.

    2. ICE increased its holding in the Company by 15,000,000 shares or 3.57% 
       with a purchase of 2,500,000 shares on Wednesday 26th of November 2003 
       and a further purchase of 12,500,000 shares on Friday 28th of November 
       2003.

    3. ICE as a party to the Agreement is now interested for the purpose of 
       sections 198 to 202 of the Act and/or by virtue of Sections 204 and 205 
       or 208 of the Act in 41,000,000 shares or 9.75% holding in the Company.

    4. The registered holder of these shares is Cantor Fitzgerald Europe.

    5. ICE is a company registered in France (registration number B 444 486 666) 
       at 54-56 Avenue Hoche, Paris 75008.
