Results of Open Offer to all Shareholders

The directors of Thor Mining Plc ("Thor" or "the Company") (ASAX, AIM: THR) announce that pursuant to the Open Offer to all shareholders dated 18 March 2013, the Company has received applications for the following securities:

   --     Shares to be listed on London Stock Exchange (AIM):           57,048,476

of which:

   --     The number of CDIs to be listed on ASX is:                            40,134,818

Total proceeds from the above applications approximate A$382,000 or GBP256,000.

In accordance with the terms of the Open Offer, a total of 28,524,264 free attaching Warrants (or options for Australian and New Zealand purposes) will be granted to those security holders who participated in the Open Offer. The Warrants to be granted to the Australian and New Zealand applicants for CDIs under the Open Offer do not meet ASX's requirements for quotation of a new class of securities and will not be quoted on ASX or AIM.

The Shares, CDIs and free attaching Warrants to be issued and granted pursuant to the Open Offer are expected to be allotted on or about 30 April 2013.

The total number of listed securities on issue after the completion of the allotment will be 982,814,766

In addition, the company will have a total of 127,765,352 unlisted options not quoted on AIM or ASX.
