   RESULT OF GENERAL MEETING HELD ON 26 JULY 2013 
 
   General Meeting 
 
   Further to the proposals for the reconstruction and winding up of ProVen 
Health VCT plc (the "Company") which were announced on 27 June 2013, at 
a general meeting of the Company's shareholders held today, the special 
resolution approving the proposals was passed. 
 
   It should be noted that the scheme for the reconstruction and winding up 
of the Company under section 110 of the Insolvency Act 1986 (the 
"Scheme") remains conditional on, amongst other conditions, the approval 
by ProVen Growth and Income VCT plc shareholders of the relevant 
resolutions at its general meeting on 30 July 2013 and the passing of 
the special resolution to be proposed at the second general meeting of 
the Company's shareholders convened for 6 August 2013.  The Scheme will 
not become effective unless these resolutions are passed. 
 
   A copy of the resolution passed at the General Meeting will shortly be 
available for inspection via the National Storage Mechanism. 
 
   The proxy votes cast on the resolution were as follows: 
 
   Votes "For*":                           3,717,223 
 
   Votes "Against":                     79,703 
 
   Votes "Withheld":                  Nil 
 
   *      the votes "For" include those votes giving the Chairman 
discretion. 
 
   Suspension of Listing 
 
   It is expected that the listing of the Ordinary Shares will be suspended 
at 7.30 a.m. on 6 August 2013.
