CRP) ("Ceres" or the "Corporation") announced today
the results of its annual and special meeting of shareholders held
August 6, 2015.
The nominees listed in the Management Information Circular dated
June 24, 2015 were elected as
directors of the Corporation. The results of the vote are as

In addition, at the annual and special meeting of shareholders,
the shareholders of the Corporation:
- Re-appointed KPMG LLP as auditors of the Corporation for the
ensuing year and authorized the directors of the Corporation to fix
the remuneration of the auditors.
- Passed a resolution approving the issuance of the Standby
Warrants to certain insiders of the Company, as described in the
Management Information Circular.
- Passed a resolution approving the exercise price of the Standby
Warrants, as described in the Management Information Circular.
- Passed a resolution approving the Amended and Restated Stock
Option Plan Resolution as set out in Schedule A to in the
Management Information Circular.
