Item 5.02.			Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On January 13, 2025, Gerard A. Fasano, Chief Growth Officer of Leidos Holdings, Inc. (the “Company”), informed the Company of his intention to retire from the Company, effective April 4, 2025, following a distinguished career of over 40 years.
