Dear Sirs:

I hereby address you on behalf of Empresa Distribuidora y Comercializadora Norte S.A. (EDENOR) (the “Company”) in compliance with applicable laws and regulations, in order to inform that the Company’s Board of Directors in the meeting held on December 16^th 2015 decided to approve the Amended Text of the Contract for the Assignment of Rights to Use the Electric Distribution Network, entered into between EDENOR and Comunicaciones y Consumos S.A. (CYCSA S.A.) on March 14^th 2007. Pursuant to sections 72 y 73 of the Securities Market Law, prior to the Board of Director’s meeting, the Audit Committee stated favorably on the mentioned text. In this connection, it is has been informed to the Shareholders that said statement is available at the Corporate headquarters.
