Revenue from Continuing Operations Increases 15.9% to Record $53.2 Million BLACKWOOD, N.J., Nov. 3 /PRNewswire-FirstCall/ -- Metrologic Instruments, Inc. (NASDAQ:MTLG) today announced financial results for the quarter ended September 30, 2006 with revenue from continuing operations of $53.2 million and income from continuing operations of $2.8 million or $0.12 per fully diluted share. Beginning January 1, 2006, the Company adopted SFAS No. 123(R), Share-Based Payment. As previously announced, the Company entered into a Stock Purchase Agreement with Essex Corporation on September 19, 2006 for the sale of the Company's subsidiary, Adaptive Optics Associates, Inc. ("AOA"). This transaction was completed in October 2006. The results from continuing operations exclude AOA, which is reported as a discontinued operation as discussed further below. Financial Results and Third Quarter Highlights Continuing Operations - Revenue for the third quarter of 2006 increased by 15.9% to a record $53.2 million as compared to $45.9 million in the third quarter of 2005. - For the third quarter of 2006, gross margin was 45.3% versus 47.5% for the third quarter 2005. Gross margin for the third quarter 2006 was primarily impacted by continued sales to Tier-1 retailers and product mix. Approximately $0.1 million, or 0.3%, of stock-based compensation expense is included in gross margin for the three months ended September 30, 2006. - Operating expense as a percentage of revenue was 38.4% for the third quarter of 2006 compared to 27.4% in the third quarter 2005. This increase is primarily caused by higher selling, general and administrative expenses which include legal expenses for ongoing litigation, costs related to a Brazilian tax case, and transaction costs associated with the Company's previously announced Merger Agreement with an investor group led by Francisco Partners. Approximately $0.8 million of stock-based compensation expense is included in operating expenses for the three months ended September 30, 2006. - Income from continuing operations for the third quarter of 2006 was $2.8 million, or $0.12 per fully diluted share, as compared to $7.3 million or $0.31 per fully diluted share in the third quarter of 2005. Included in income from continuing operations for the third quarter of 2006 was approximately $0.9 million of stock-based compensation expense. - The Data Capture and Collection business segment grew 15.0% to approximately $50.6 million as compared to the third quarter of 2005, reflecting continued strength in the channel and in reverse-vending applications. - On a geographic basis, sales in the EMEA (Europe, Middle East, Africa) region increased by 38.0% to approximately $26.5 million in the third quarter of 2006, fueled by new and follow-on orders received from Tier- 1 retailers and for reverse-vending applications. The Asia/Pacific region grew at 12.8% to approximately $8.0 million. The Americas region decreased by 4.7% primarily due to several large Tier-1 rollouts in the third quarter of 2005. Discontinued Operations The 2006 and 2005 results from continuing operations exclude AOA, which the Company sold effective October 2, 2006 and is reported as a discontinued operation. Income from discontinued operations, net of income taxes, was $0.8 million, or $0.04 per fully diluted share for the quarter ended September 30, 2006, as compared with $0.4 million, or $0.02 per fully diluted share in 2005. Including discontinued operations, net income was $3.6 million, or $0.16 per fully diluted share in the third quarter of 2006 as compared with net income of $7.7 million, or $0.33 per fully diluted share in 2005. Nine Months 2006 Results Revenue from continuing operations for the first nine months of 2006 was approximately $158.1 million, an increase of 25.1% as compared to revenue of $126.4 million in the first nine months of 2005. Income from continuing operations was $10.3 million, or $0.44 per fully diluted share in 2006, as compared to $15.2 million, or $0.65 per diluted share, in 2005. Included in income from continuing operations for the nine months ended September 30, 2006 was approximately $3.4 million of stock-based compensation expense. Net income for the first nine months of 2006 was $12.4 million, or $0.53 per fully diluted share, as compared to $16.3 million or $0.70 per diluted share in the comparable period in 2005.
