LiveOne, Inc. (the “Company”) is unable to file with the U.S. Securities and Exchange Commission (the “SEC”) its Quarterly Report on Form 10-Q for the quarter ended September 30, 2022 (the “Form 10-Q”) within the prescribed time period without unreasonable effort or expense as the Company needs additional time to complete certain financial disclosures and analyses to be included in the Form 10-Q. The Company also requires additional time to finalize its consolidated financial statements and the notes thereto. The Company expects to file the Form 10-Q with the SEC as soon as possible, but no later than November 21, 2022, the fifth calendar day following the prescribed due date of the Form 10-Q.
