On May 22, 2020, in connection
with the appointment of Jack B. Blount to the position of President, Chief Executive Officer and Director, the Board of Directors of Intrusion
Inc. approved an amendment to the 2015 Stock Incentive Plan, as permitted by the terms thereof, to increase the limit on the number of
shares of Common Stock for which a participant could receive option grants per calendar year from 100,000 to 250,000.
