Board of Directors
On May 13, 2019, the maximum number of directors
comprising the Company’s Board of Directors (the “Board”) was increased from 13 to 15 (with the precise number
of directors to be determined from time to time by resolution of the Board) and the actual number of directors comprising the Board
was increased from 11 to 14. Prior to such increase, the Board was comprised of 11 directors and two vacant seats. Immediately
following the increase, the Board appointed three individuals as directors of the Company to fill three of the four vacancies,
leaving one seat vacant.

Director Indemnification Agreements
On May 13, 2019, the Company entered into
Indemnification Agreements (the “Indemnification Agreements”) with each of the new directors. The Indemnification Agreements
clarify and supplement indemnification provisions already contained in the Company's bylaws (the “Bylaws”) and generally
provide that the Company shall indemnify the Indemnitees to the fullest extent permitted by applicable law, subject to certain
exceptions, against expenses, judgments, fines and other amounts actually and reasonably incurred in connection with their service
as a director or officer and also provide for rights to advancement of expenses and contribution.
The description of the form of Indemnification
Agreement set forth in this Item 5.02 is not complete and is qualified in its entirety by reference to the full text of the form
of Indemnification Agreement which was filed as Exhibit 10.4 to the Company’s Current Report on Form 8-K filed with the Securities
and Exchange Commission on April 30, 2019, which is incorporated herein by reference.

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
|
On May 13, 2019, the Board adopted an amendment
to the Bylaws of the Company increasing the maximum number of directors comprising the Board from 13 to 15, with the precise number
of directors to be determined from time to time by resolution of the Board. In addition, the amendment clarifies an existing provision
of the Bylaws that permits directors to be removed only for cause and only by the affirmative vote of the holders of two-thirds
or more of the outstanding shares of the capital stock of the Company entitled to vote generally in the election of directors cast
at a stockholders meeting called for that purpose. A copy of the Bylaw amendment is filed as Exhibit 3.1 to this Current Report
on Form 8-K.
