Explanation of Responses:
(1)	The restricted stock granted to the reporting person on July 3, 2017 vested and such restricted stock units settled for shares of the Company's common stock.
(2)	The restricted stock granted to the reporting person on July 14, 2018 vested and such restricted stock units settled for shares of the Company's common stock.
(3)	Each restricted stock unit represents the contingent right to receive one share of the Company's common stock upon vesting of the unit.
(4)	The awards vest in three equal tranches on August 15 each year beginning August 15, 2018, assuming continued employment through such vesting date and shall expire on the vesting date of the third tranche of units.
