Item 8.01 Other Events.

On January 18, 2024, WiSA Technologies, Inc. (the “Company”) convened its 2023 Annual Meeting of Stockholders (the “Annual Meeting”). At that time, there were not present or represented by proxy a sufficient number of the Company’s voting shares in order to constitute the required quorum. As a result, the Company adjourned the Annual Meeting, which will reconvene on January 30, 2024, at 11:00 a.m. Pacific Time, at the offices of the Company at 15268 NW Greenbrier Pkwy, Beaverton, Oregon 97006 (the “Reconvened Annual Meeting”).

At the Reconvened Annual Meeting, stockholders will be deemed to be present in person and vote at such adjourned meeting in the same manner as disclosed in the Annual Meeting Proxy Statement. Valid proxies submitted prior to the Annual Meeting will continue to be valid for the Reconvened Annual Meeting, unless properly changed or revoked prior to votes being taken at the Reconvened Annual Meeting.
