Directors' Shareholdings

The Company has today been informed that following Directors have changed their
notifiable interest in the Ordinary 5p shares in the Company ("Shares"):

E S Moore's Individual Savings Account (ISA) purchased 209 Shares (0.000002%) at
72.75p each on 30 September 2002. Mr Moore now has an interest in a total of
683,595 Shares (0.57%).

A J Mackenzie's ISA purchased 108 Shares (0.000001%) at 72.75p each on 30
September 2002. Mr Mackenzie's wife, I A Mackenzie's ISA also purchased 46
Shares (0.0000003%) at 72.75p each on 30 September 2002. Mr Mackenzie now has an
interest in a total 431,098 Shares (0.36%).

T R Jones's ISA purchased 154 Shares (0.000001%) at 72.75p each on 30 September
2002. Mr Jone's wife, M L Jones's ISA also purchased 46 Shares (0.0000003%) at

Mr Jones today also exercised his option under the Group Executive Share Option

R E Arbuthnot today exercised his option under the Scheme to purchase 96,630
Shares (0.08%) at 65.19p each and further, sold 86,630 Shares (0.07%) at 69p
each. Mr Arbuthnot now has an interest in a total of 60,714 Shares (0.05%).
