DIRECTORS' INTERESTS IN SHARES

On 27 September 2002 Mr Martin Harris sold 150,000 Carpetright plc shares to
Harris Ventures Limited at #6.37 per share.  Accordingly, these shares now form
part of Lord Harris' beneficial interest.

Lord Harris' and Mr Martin Harris' revised beneficial interests are 13,620,587
and 1,484,063, respectively.  In aggregate, the Harris family's notifiable 
interest remains unchanged.
