CARPETRIGHT PLC (THE "COMPANY")

DIRECTOR'S SHAREHOLDING

On 26 April 2005, Elaine Kitching, the wife of Mr John Kitching, Managing
Director, purchased 5,000 ordinary shares in the Company at a price of #8.95 per
share, bringing her total shareholding to 170,000 shares. These shares form part
of John Kitching's beneficial shareholding which has increased to 670,793 shares
(0.97%).

EMPLOYEE BENEFIT TRUST

The Company received notification from Equity Trust (Jersey) Limited in its
capacity as trustee of the Carpetright plc Employee Benefit Trust (the "Trustee"
and the "Trust" respectively) that 13,575 ordinary shares in the Company have
been purchased today by the Trustee at a price of #9.11 per share. The Trustee's
current holding of shares represents 0.02% of the issued share capital of the
Company.

For the purposes of the Companies Act 1985 the directors of the Company have an
interest in the shares acquired by the Trustee as they are potential
beneficiaries of the Trust. The Trust was established to facilitate the
operation of the Company's 2004 Long Term Incentive Plan (the "LTIP") and it is
intended that the shares will be used to satisfy awards made under the LTIP.
