    Conversion Between Classes

    In respect of the June 2008 Conversion Calculation Date and on the basis of the net asset values of the Company's Shares of no par value
set out in the announcement dated 2nd June 2008 (and using spot currency exchange rates as appropriate, in each case as at 30th June 2008),
the Conversion Ratios, calculated in accordance with the Company's articles are as follows:

    *     0.77145 � Shares for every one EURO Share
    *     1.53166 USD Shares for every one EURO Share
    *     1.98543 USD Shares for every one � Share
    *     0.65289 EURO Shares for every one USD Share

    On the basis of the aggregate level of Conversion Notices received by the Company within the stated deadline as previously announced,
application has been made to the UK Listing Authority for 13,680 new � Shares and 183,361 USD Shares of no par value to be admitted to the
Official List.  Application has also been made for such Shares to be admitted to trading on the London Stock Exchange. It is expected that
such admission will become effective and that dealings in the new Shares will commence on 19 August 2008.  

    Accordingly, the Company's issued share capital with effect from 19 August 2008 will be as follows:-

    *       7,500,087.00 � Shares
    *     10,606,568.00 EUR Shares
    *     13,286,580.00 US$ Shares

    All shareholders have equal voting rights based on the number of shares held.  Accordingly, the total number of voting rights in the
Company is 31,393,235 and this figure may be used by shareholders as the denominator of the calculations by which they will determine if
they are required to notify their interest in, or a change to their interest in the Company under the FSA's Disclosure and Transparency
Rules.
