At an EGM held yesterday of Availeon Plc, the fully listed
catering and support services group, the ordinary
resolution proposing the acquisition of the Velvet Room Bar
Restaurant Limited and the special resolutions proposing
the increase in the authorised share capital and the
allotment of equity securities to accommodate the issue of
#900,000 convertible unsecured loan stock and the increase
in the groups borrowing powers by #10 million were
unanimously passed.

At the meeting, Mira Merme, Chief Executive said to
shareholders:

"The association with B & C Plaza, an associated company of
the Rotch Property Group, will provide much needed working
capital to enable the catering division to tender for
larger and longer term contracts, as well as providing an
avenue for new business leads."
