Atlantic Telecom Group PLC ("Atlantic Telecom" or the "Company")
Passing of Extraordinary Resolution of Warrantholders to
alter the rights of Atlantic Telecom Warrants

Pursuant to a circular from the Company to the Warrantholders dated 16 July
1998 convening an extraordinary general meeting of the Warrantholders held
today, an Extraordinary Resolution was duly passed approving alteration of the
rights of the Warrants as described in the Circular to Warrantholders.  These
alterations provide for three additional Subscription Periods to 30 September
1999, at an increased subscription price of 160p.
