                     RSL FINANCE (No.1) PLC (the "Issuer")

Surrender and Cancellation of 6.625 per cent. Secured Loan-Backed Bonds due 31 March 2038 ("RSL Bonds")

On 8 April 2013 Genesis Housing Association Limited (the "Borrower") surrendered £60,000,000 in principal amount of RSL Bonds to the Issuer for cancellation. The Issuer accepted surrender of the RSL Bonds for cancellation and as a consequence the corresponding obligations of the Borrower under its £60,000,000 loan facility with the Issuer have been cancelled in accordance with clause 7.2(2) of its loan agreement.
