On
December 27, 2022,
our licensee, WeedLife.com
(“WeedLife”), a
company participating in our technology business incubator program
of which we own 15%, announced that WeedLife executed
a Letter of Intent (the “LOI”) with Saving Grace Oil, Inc. (“Saving
Grace”) to
purchase Saving Grace, a CBD company. We
will be issuing a press release regarding the LOI after we file
this Form 8-K, which press release is attached hereto as Exhibit
99.1.
