The News Corporation Limited ("News Corporation") today announced the issue of
522,840,540 Preferred Limited Voting Ordinary Shares, in connection with the
closing of the transactions under which it acquired a 34% interest in Hughes
Electronics Corporation.

The issue of the Preferred Limited Voting Ordinary Shares by News Corporation
did not require disclosure to investors under Chapter 6D of the Corporations
Act, in reliance on relief provided by an ASIC Class Order.

For the purposes of the ASIC Class Order, News Corporation confirms that there
is no information of the kind that would be required under section 713(5) of the
Corporations Act if a prospectus were to be issued relating to the allotment.
