Item 2.02 Results of Operations and Financial Condition.

On March 14, 2023, SentinelOne, Inc. (the “Company”) announced its financial results for the fourth quarter of fiscal year 2023 ended January 31, 2023, by issuing a letter to shareholders and a press release. The Company also announced that it would hold a webcast to discuss its financial results for the fourth quarter of fiscal year 2023 ended January 31, 2023. A copy of the press release and the letter to shareholders is furnished herewith as Exhibit 99.1 and 99.2, respectively.

The Company makes reference to non-GAAP financial information in the Company’s press release, letter to shareholders and the webcast call. A reconciliation of these non-GAAP financial measures to the comparable GAAP financial measures is contained in the attached press release and letter to shareholders.
