We wanted to update you on the key developments in our business combination with MNG Airlines given our relationship.
Notably, MNG Airlines announced an approximately $35 million dividend for fiscal year 2022. Assuming our business combination is consummated, and the Available Cash Condition of $30 million is satisfied, on a pro forma basis, this dividend
would equate to $0.55 per ordinary share, resulting in a 5.5% dividend yield based on an illustrative $10.00 price per share. Based on publicly available information, out of 431 completed De-SPACs since 2016
(which excludes SPACs with less than $50 million IPO value and de-listed SPACs), only 19 pay dividends and only 2 others announced a dividend policy within their business combination filings. Of the 19 that pay dividends, the highest dividend per
share was $0.12, less than 1/4th of MNGAs implied dividend per share.
While we have priced the
transaction at a 28% discount to Cargojet, who we believe is MNGAs closest comp, based on an LTM Adjusted EBITDA multiple as of September 30, 2022, the most recent public comp data, MNGAs implied dividend yield is more than 5x
greater than Cargojets less than 1% dividend yield.
MNGA also announced strong preliminary unaudited financial results for full year 2022:
