On May 10, 2021, EQT Corporation issued a news
release announcing the pricing of $500 million in aggregate principal amount of its 3.125% senior notes due 2026 and $500 million
in aggregate principal amount of its 3.625% senior notes due 2031 in a private placement to persons reasonably believed to be qualified
institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the Securities Act), and to certain non-U.S.
persons outside the United States in compliance with Regulation S under the Securities Act. A copy of the news release is attached hereto
as Exhibit 99.1 and is incorporated herein by reference.
