Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 20, 2020, John W. Wesley, the Company’s Senior Vice President and General Counsel, notified the Company that he is retiring from the Company, effective as of December 1, 2020. Prior to that date, Mr. Wesley will continue to serve as a Senior Vice President at the Company and assist with an orderly transition of his responsibilities to S. Ross Mansbach, who has been appointed as Senior Vice President and Interim General Counsel, effective October 22, 2020, in addition to his responsibilities as the Company’s Corporate Secretary.
