The Registrant is unable to file its Form 10-Q for the quarter ended September 30, 2022 within the prescribed time period without unreasonable effort or expense because the Registrant’s Audit Committee is in the process of completing the review of the Registrant’s financial statements for the quarter ended September 30, 2022 and will need additional time to complete its assessment of such financial statements. The Registrant anticipates that it will file its Form 10-Q within the five-calendar-day grace period provided by Exchange Act Rule 12b-25.
