    Good morning. This is Ric Phillips, CEO of Essendant.

 

    We just made a very exciting announcement about the future of our company, and I wanted to share my perspective on what this means with all of you.

 

    We have agreed to combine with Genuine Parts Company’s S.P. Richards business to create a stronger, more competitive company amid the rapidly changing landscape facing our industry.

 

    S.P. Richards is a leading distributor of a wide spectrum of business products to resellers in the U.S. and Canada.

 

    This is an exciting step for Essendant and will enable us to accelerate the work we already have underway.

 

    By combining, we will harness Essendant and S.P. Richards’ complementary strengths to better position ourselves in the marketplace and capitalize on opportunities to create value, and serve our customers in an improved way.

 

    This will also create new opportunities for associates who will become part of a larger stronger organization.

 

    We will be talking much more in the weeks and months to come about the work to bring our two companies together. The combined company will retain the Essendant name and maintain headquarters in Deerfield and Atlanta.

 

    I will remain the CEO of the combined company and Janet Zelenka will remain CFO. We will also be joined by Rick Toppin, the current President and CEO at S.P. Richards, who will become the COO of the combined company following the close of the transaction.

 

    It is important to note that today’s news is just the first step on the path to completing the transaction, which we expect to close the transaction before year end. Until then, Essendant and S.P. Richards will continue to operate as separate businesses.

 

    So it is extremely important that we don’t reach out or engage with employees at S.P. Richards or share information until the transaction closes. It will be “business as usual” until closing.

 

    “Business as usual” also includes the most important job we have moving forward —each and every one of us must remain focused on providing excellent service to our customers and suppliers.

 

    You should have received an email from me with more details on the transaction, and I can assure you we will continue to provide relevant updates as we progress through the process.

 

    As always, thank you for your all hard work and dedication as we begin this new chapter in our history.
