Explanation of Responses: |
(1) | On June 29, 2020, 33,032 performance-vesting restricted stock units held by Mr. Johnson vested. Pursuant to the terms of his restricted stock unit award agreement, the Company withheld 16,378 of the shares otherwise deliverable to him in order to satisfy the resulting tax withholding obligation. Additionally, as the performance conditions underlying this restricted stock unit award were not achieved at the maximum level, 6,962 previously reported restricted stock units did not vest. |
(2) | On June 29, 2020, 17,140 performance-vesting restricted stock units held by Mr. Johnson vested. Pursuant to the terms of his restricted stock unit award agreement, the Company withheld 8,499 of the shares otherwise deliverable to him in order to satisfy the resulting tax withholding obligation. Additionally, as the performance conditions underlying this restricted stock unit award were not achieved at the maximum level, 2,856 previously reported restricted stock units did not vest. |
(3) | Following the transactions reported on this Form 4, Mr. Johnson held 48,811 shares of the Company's common stock and 42,235 performance-vesting restricted stock units, each representing the right to receive one share of the Company's common stock. |
