Re:  Chapter 9, Paragraph 11 of CONTINUING OBLIGATIONS

Xansa plc (the "Company") announces that it received notification on 12 December
2003 under sections 198-208 of the Companies Act 1985 (as amended) (the "Act")
that as at the close of business on 9 December 2003, Barclays PLC through the
legal entities listed below had increased its interest in the Company for the
purposes of the Act to 14,041,811 ordinary shares of 5p each in the Company ("
Ordinary Shares").

The Barclays PLC legal entities comprise Barclays Private Bank Ltd, Barclays
Global Investors Ltd, Barclays Life Assurance Co Ltd, Barclays Global Investors
Australia Ltd and Barclays Global Investors, N.A.

At the close of business on 9 December 2003, these Ordinary Shares represented
4.146% of the issued share capital of the Company.
