Item 8.01.Other Events.

On August 3, 2022, The LGL Group, Inc. (the "Company") issued a press release (the "Press Release") announcing that the Board of Directors has declared a dividend of common stock of its Mtron Industries, Inc. subsidiary (“Mtron”) to holders of record of its common stock as of August 12, 2022, the record date set by the Board of Directors for the dividend. Each holder of the Company’s common stock as of the record date will receive one share of Mtron stock for each share of common stock owned. The shares are expected to be distributed on or around August 19, 2022, and the Company intends for the shares to be listed and traded on the NYSE American on or around such date, subject to NYSE American approval.
