Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 13, 2022, Philip A. Brooks notified Sonida Senior Living, Inc. (the “Company”) that he is retiring as a member of the Company’s Board of Directors (the “Board”), effective immediately. Mr. Brooks’ retirement did not result from any disagreements with the Company’s management or the Board. The Company is very appreciative of Mr. Brooks for his over 12 years of service as a director and many contributions to the Company and wishes him well in his next venture.
