NOTE
This
Registration Statement on Form S-8 (the “Registration Statement”) is being filed to:
| ● | register additional shares of the Company’s common stock, par value $0.001 per share
(the “Common Stock”) under The Glimpse Group, Inc. 2016 Equity Incentive Plan
(the “2016 Plan”) as a result of an evergreen provision contained therein
(the “Evergreen Provision”). On January 1, 2022, 624,021 shares of Common Stock
(the “2022 Evergreen Shares”) were added to the total number of shares of Common
Stock reserved for issuance under the 2016 Plan. Pursuant to the Evergreen Provision, on
January 1 of each year commencing in 2022, the number of shares authorized for issuance under
the 2016 Plan is automatically increased by a number equal to the least of: (a) 5% of the
total number of shares of Common Stock outstanding on December 31st of the preceding calendar
year; or (b) a number determined by the Company’s board of directors. |

are a Virtual (“VR”) and Augmented (“AR”) Reality platform company, comprised of a diversified group of wholly-owned

Registrant’s Articles of Incorporation provide that none of its directors or officers shall be personally liable to the Registrant
