Issue of Equity

Ultimate Finance Group plc (AIM: UFG), a leading provider of financial solutions to SMEs, announces that it has issued and allotted 634,921 ordinary shares of 5 pence each ("Ordinary Shares"). These new Ordinary Shares have been issued to satisfy GBP100,000 (the "First Tranche") of deferred consideration payable under the Ashley Commercial Finance Limited acquisition agreement (as detailed in the admission document dated 12 October 2010 and available on the Company's website, www.ultimatefinance.co.uk).

Jonathan Cranston, Executive Director, has received 197,778 Ordinary Shares and subsequently holds 2,274,527 Ordinary Shares representing approximately 3.9 per cent. of the total Ordinary Shares in issue.

Application has been made for the 634,921 new Ordinary Shares to be admitted to trading on AIM and it is expected that admission will take place on or about 8.00 a.m. on 24 April 2012 ("Admission").

In accordance with the Disclosure and Transparency Rules (DTR 5.6.1R) the Company hereby notifies the market that immediately following Admission its issued share capital will consist of 57,893,980 Ordinary Shares. The Company does not hold any shares in treasury. Shareholders may use these figure as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
