    AGM statement

    Ultimate Finance Group plc ("Ultimate" or the "Company") is an AIM-quoted factoring, invoice discounting and financial solutions
provider to the SME sector.

    At the Company's AGM today, all resolutions put to shareholders were duly passed.

    The Chairman made the following statement:

    "I am pleased to be able to report that the first four months of the financial year have seen trading in accordance with management's
expectations, notwithstanding the difficult economic background.

    I am also pleased to announce the appointment of Lee Baty as Managing Director for the North of England of our operating subsidiary,
Ultimate Finance Limited, based in our Manchester office. Lee joins us from Bank of Scotland Business Banking, where he was Head of Business
Development (Midlands & North). He will be responsible for the growth of our business in the North of England.

    Our recently established office in Tunbridge Wells, which focuses primarily on international business, has made a good start and has now
completed its first transaction. There are a number of further transactions in the pipeline.



    With demand continuing for our services, and a reliable flow of funding to serve demand, the Board remains confident in the future
development of the Company."
