Sale of Shares out of Treasury



Taylor Woodrow plc ("the company") announces that on 23 June 2006 it has
transferred an aggregate of 533,144 of its 25p ordinary shares, which were held
as Treasury shares, to employees (a) exercising share options pursuant to the
Savings-Related Share Option Scheme, at prices between 124.4 pence per share and
261 pence per share (b) acquiring shares pursuant to the Share Purchase Plan
(SIP) and the associated one for one match by the company (c) awarded shares
under the long service award scheme (d) awarded shares under the Performance
Share Plan and (e) exercises under the Executive Share Option Plan.



Following the transfer of these shares, the company now holds 16,983,889 shares
as Treasury shares and has 577,072,689 ordinary shares in issue (excluding
treasury shares).
