1. Vesting of the first one-third of the Compulsory Share Award made on 8 April

    2005 under the Taylor Woodrow Deferred Bonus Plan, whereby executives

    in North America deferred a portion of their cash bonus payable for

    performance during 2004 in return for (1) a one for five Matching Option 

    exercisable subject to meeting certain performance criteria, on 8 April 

    2008 and (2) one-third of the Compulsory Share Award on each successive 

    anniversary of the award date.
