At  today's  Annual General Meeting Mr T L P Delaney,  Finance
Director, having attained the age of 70, automatically retired
under  Section 293(3) of the Companies Act 1985  and  Mr  G  W
Harris  was elected Finance Director.  Mr G W Harris has  been
the  Financial Controller of Total Systems plc since 1993  and
will continue to hold the post of Company Secretary.

All  other resolutions at the Annual General Meeting were duly
passed.
