Disclosure of notifiable interest.

Notification has been received today that State Street Nominees Limited sold
75,000 Ordinary 5p shares in Total Systems plc on 7 July 1997 and 31,300
Ordinary 5p shares in Total Systems plc on 8 July 1997.  This has reduced their
total holding to 297,858 Ordinary 5p shares representing 2.94% of the issued
share capital of Total Systems plc.  State Street Nominees Limited hold these
shares on behalf of the Mars UK Pension Fund of which Mars Security Limited is
the Trustee.  Consequently the Mars UK Pension Fund of which Mars Security
Limited is Trustee has ceased to have a notifiable interest in the issued share
capital of Total Systems Plc.
