Directorate change

Following the recent announcement by Matrix Group Limited that it had reached
agreement to acquire the whole of the issued share capital of GLE Development
Capital Limited, one of the Company's fund managers, Helen Sinclair offered her
resignation as a Director of TriVest VCT plc in order to avoid any potential
conflicts of interest. It is with considerable regret that the Board has felt it
necessary to accept her resignation but has agreed with her that it is in the
best interests of all concerned if her resignation only takes effect when a
suitably qualified replacement can be found.
