                          Directors' Shareholding

The Board of Ted Baker PLC (the "Company") was notified on 10 May 2005 that the
Ted Baker Group Employee Benefit Trust (the "Trust") acquired 100,000 ordinary
shares in the Company on 10 May 2005 at a price of 444p (the "Shares"). The
Trust now holds 295,528 ordinary shares representing 0.69 per cent. of the
currently issued share capital of the Company.

Lindsay Page, finance director of the Company, is a member of the class of
discretionary beneficiaries of the Trust and is consequently taken as having an
interest in all shares in the Trust. As a consequence of the acquisition of the
above Shares by the Trust, Lindsay Page is deemed to have acquired an interest
in these Shares.
