Property Acquisition and Management Securities Limited ("PAM Securities")



At the Separate General Meeting of the Zero Dividend Preference Shareholders of
PAM Securities, the Extraordinary General Meeting of PAM Securities, and the
Extraordinary General Meeting of PAM held earlier today, the following
resolutions were passed, as set out in the Circular dated 16 September 2002:-


 1. To authorise PAM Securities to purchase up to 5,000,000 issued Zero Dividend
    Preference Shares and to reduce its share premium account.

 2. To authorise PAM to purchase up to 5,472,632 Convertible Redeemable
    Preference Shares.

 3. To authorise PAM to purchase up to 8,631,811 Ordinary Shares.
