Pursuant to the announcement made on the 12 August 2002, Property Acquisition
and Management Limited (the "Company") and Property Acquisition and Management
Securities Limited (the "Subsidiary") have published a circular to convene EGMs
and a class meeting on the 3 October 2002 to enable the Company to purchase up
to 14.99 per cent. of the issued Ordinary Shares and 50 per cent of the
Convertible Redeemable Preference Shares and to enable the Subsidiary to
purchase up to 50 per cent. of the issued ZDP Shares and to reduce its share
premium account.

Two copies of the circular have been submitted to the UK Listing Authority.
