In respect of the Company's Scrip Dividend Scheme, elections have been received
in respect of 5,986,672 Ordinary 10p Shares and 3,255,078 Convertible Redeemable
Preference 100p shares.

In order to satisfy these scrip dividend elections, 176,857 Ordinary 10p shares
and 102,975 Convertible Redeemable Preference 100p shares have been purchased in
the market at 65p and 88p respectively on 20/06/02.

The number of shares in issue remains 57,583,795 Ordinary 10p shares and
10,945,262 Convertible Redeemable Preference 100p shares
