Treasury Shares - Transfer
In accordance with Listing Rule 12.6.4, Lancashire Holdings
Limited (the "Company") announces that on 30 June 2017 it received
confirmation that the transfer of 500,535 common shares from
Treasury to the Lancashire Holdings Limited Employee Benefit Trust
took place in order to satisfy future exercises of awards granted
to beneficiaries under the rules of the Company's share plans.
The transfer of common shares from treasury to satisfy the
Company's obligations under various plans was authorised at a
meeting of the Company's Board of Directors on 11 February
2015.
Following this transfer, the Company's issued share capital
consists of 201,341,918 common shares of US$0.50 each, of which
914,523 common shares are held in treasury. Therefore, the total
number of common shares in issue with voting rights (excluding
shares held in treasury) is 200,427,395.
The above figure of 200,427,395 may be used by shareholders as
the denominator for the calculations by which they will determine
if they are required to notify their interest in, or a change to
their interest in, the Company under the Financial Conduct
Authority's Disclosure Guidance and Transparency Rules.
