HipCricket, Inc. (the "Company") 
Expiry of Regulation S restrictions period 
The Company notes that the 1 year period for the restrictions imposed on all 
shares of common stock of US$0.01 each in the Company (CUSIP No. U4331P103 and 
ISIN No. USU4331P1031) pursuant to Regulation S of the US Securities Act, 1933, 
as amended, (the "Reg S Restrictions") expired on 27 November 2008. As a result, 
the shares can now be sold in the US, if the holder wishes to do so. 
Application has been made for the 'Reg S' tag to be removed from the trading 
line in the Company's shares of common stock on the London Stock Exchange and 
the shares are expected to be admitted to trading on AIM without the 'Reg S' tag 
as from 23 March 2009. The CUSIP and ISIN numbers will remain unchanged 
The Company will be writing to all holders of shares of common stock who have 
been issued with share certificates containing the Reg S Restrictions legend 
explaining how they can exchange their existing share certificates for new share 
certificates without the Reg S Restrictions legend. This will be done at the 
Company's own expense provided the existing share certificates are delivered for 
exchange by 30 April 2009. 
Notwithstanding the removal of the Reg S Restrictions legend, new share 
certificates will continue to include the existing legend setting out the 
restriction restricting transfers of shares in the Company that would result in 
there being 500 or more shareholders of record in the Company (or such other 
number as would require the Company to register its shares under the US 
Securities Exchange Act, 1934, as amended), as well as the existing legend 
setting out the restriction restricting transfers of shares in the Company into 
the United States absent a valid exemption from the registration requirements of 
the US Securities Act, 1933, as amended.
