                 DIRECTORS' SHARE DEALINGS AND EXERCISE OF OPTIONS

Following institutional and private client investor demand for the Company's
shares, Julian Ashby, Derek Joseph, Jeffrey Zitron, Richard Wollenberg and
Peter Chapman (all directors of HACAS Group plc) have agreed to sell shares in
the Company.  In addition, Richard Wollenberg has exercised options in respect
of 1,000,000 shares.


A total of 800,000 shares representing 2.7% of the enlarged number of ordinary
shares in issue are being sold.  These shares were sold on 17 May 2001 at a
price of 95p each to institutional and other investors.


The interests of the directors in the share capital of the Company after
completion of these transactions is as follows:

Application has been made for the new ordinary shares to be admitted to AIM.
These shares, which have been issued and allotted, will rank pari passu with
all other shares currently in issue and it is expected that these shares will
be admitted to trading on AIM on 23 May 2001.  The enlarged number of shares
in issue is now 29,300,956.
